Your Application

To join our affiliate program and become a Play88 Affiliate member, you must accept these terms and conditions by ticking the box indicating your acceptance and completing and submitting an online application form. The application form will form an integral part of this AGREEMENT. Play88 will in our sole discretion determine whether to accept your application whereby our decision is final and will not be subjected to any right of appeal. Play88 will notify you by your preferred contact method as to the acceptance of your application.

Register your customers

Play88 will register your Customers and track their transactions. Play88 reserves the right to refuse any Customers (or to close their accounts) if necessary, to comply with any requirements Play88 may periodically establish.

"Customer" means your visitors who join our Customer database (by way of registering at one or more of our products/Play88 sites including Casino, Keno, Slot Games, Sportsbook, and Esports, etc.) after arriving at the applicable site(s) via one of your click-through URLs, which will be provided to you once you join. By opening an account with us, they will become our Customers and, accordingly, our rules, policies, and operating procedures will apply to them.

Commissions Payment

Subject to the type of Affiliates Commission Plan upon signing or being offered during the time of the Affiliate account opening. Play88 will pay you a referral commission ("Affiliates Commission") of the net profit after deducting all payment fees, promotions, and royalty fees. Play88 earns from players directed from your site(s) after they open an account with us and wager for real money at Play88’s products. Please refer to Clause Commission Calculation & Payouts.

Modification

Play88 may modify any of the terms and conditions contained in this AGREEMENT or replace it at any time and in our sole discretion, by posting a change notice or a new AGREEMENT on our sites, which Play88 will notify you through the e-mail address that you provided when you join the Affiliate program. Modifications may include, for example, changes in the scope of available Referral Commissions and Affiliate program rules. If any modification is unacceptable to you, your only recourse is to terminate this AGREEMENT. Your continued participation in the referral program following our posting of a change notice or new AGREEMENT on our site will constitute binding acceptance of the modification or of the new AGREEMENT.

Linking to our Play88 websites

By agreeing to participate in this Affiliate programme, you are agreeing to create and maintain unique links from your site(s) to the Play88 websites. You may link to us with any of our banners, e-mails, articles or with a text link. This is the only method by which you may advertise on our behalf.

Spamming

Play88 will terminate this AGREEMENT immediately without recourse for you if there is any form of spamming or if you advertise our services in any other way. You shall not make any claims or representations, or give any warranties, in connection with us and you shall have no authority to, and shall not, bind us to any obligations.

Registering of Domain Names

You shall also refrain from registering (or applying to register) any domain name similar to any domain name used by or registered in the name of Play88, or any other name that could be understood to designate Play88.

Bidding on Brand Terms

You may not purchase or register keywords, search terms, or other identifiers for use in any search engine, portal, sponsored advertising service, or other search or referral service that are identical or similar to any of Play88's trademarks or variations thereof or include meta tag and/or keywords on the Partner Site which are identical or similar to any of Play88's trademarks. Play88 reserves the right to withhold affiliate payments and/or suspend or close accounts if any affiliate partner is found to have violated the above rules.

Agency Appointment

By this AGREEMENT, Play88 grants you the non-exclusive, non-assignable, right to direct Customers to any of our sites in accordance with the terms and conditions of this AGREEMENT. This AGREEMENT does not grant you an exclusive right or privilege to assist us in the provision of services arising from your referrals, and Play88 intends to contract with and obtain the assistance of others at any time to perform services of the same or similar nature as yours. You shall have no claim to the Referral Commissions or any other compensation on business secured by or through persons or entities other than you.

Approved Creatives

You will only use our approved advertising creative (banners, HTML / flash mailers, editorial columns, images, and logos) and will not alter their appearance nor refer to us in any promotional materials other than those that are available on www.affplay88.com or www.play88.com. The appearance and syntax of the hypertext transfer links will be created and designated by Play88 and it constitutes the only authorized and permitted representation of our sites.

Good Faith

You will not knowingly benefit from any known or suspected traffic that was not generated in good faith, whether it actually caused any collateral damage to the Brand. Play88 reserves the right to retain all amounts otherwise due to you under this AGREEMENT if PLAY88 has reasonable cause to believe that such traffic exists in any form.

Play88 reserves the right to withhold affiliate payments and/or suspend or close accounts if and when any affiliated Customers were found to be abusing any Play88 offers or promotions regardless it was conducted with or without your knowledge, such situations include but not be limited to different Customers betting both sides of an event or market so as to limit risk and claim bonuses.

Responsibility for Your Sites

You will be solely responsible for the development, operation, and maintenance of your site(s) and for all materials that appear on your site(s). For example, you will be solely responsible for ensuring that materials posted on your site(s) are not libelous or otherwise illegal. Play88 will not be held liable for any liability under these matters. Further, you will indemnify and hold us harmless from all claims, damages, and expenses (including, without limitation, legal fees) arising directly or indirectly out of the development, operation, maintenance, and contents of your site.

The Play88 affiliate program is intended for your direct participation. You shall not open affiliate accounts on behalf of any other participants except your own. Opening an affiliate account for a third party, brokering an affiliate account, or transferring an affiliate account will not be accepted. Affiliates wishing to transfer an account to another beneficial account owner must request permission to do so in prior by emailing us at aff.play88official@gmail.com. Approval is solely at our discretion.

Confidential Information

During the term of this AGREEMENT, you may be entrusted with confidential information relating to our business, operations, or underlying technology and/or the Affiliate program (including, for example, Referral Commissions earned by you under the Affiliate program). You agree to avoid disclosure or unauthorized use of any such confidential information to third persons or outside parties unless you have our prior written consent and that you will use the confidential information only for purposes necessary to further the purposes of this AGREEMENT. Your obligations with respect to confidential information shall survive the termination of this AGREEMENT.

The Commission

Subject to clause 'Continued Promotion', you will earn a Commission based on the net profit from your referred Customers.

Net Gaming Revenue (NGR) or Net Profit is defined as the sum of Gross Gaming Revenue (GGR) after the deductions of:

• Royalty Fees
• Any Marketing Fees such as bonuses or rebates that were given to the affiliate's members

Each Affiliate must have at least THREE (3) active members to be eligible to earn commissions every month.

Any Negative Revenue Share for any given month will be carried forward to the affiliate’s statement on the following month.

Each Affiliate must earn a minimum commission equivalent to MYR 100 to be eligible for any commission payment.

Each Affiliate’s earned commission in any amount of less than MYR 100 will be carried forward to the following month.

Play88 retains the right to change the Referral Commission percentage and method of calculation of the Commission as Play88 wishes in accordance with clause "Play88 Rights and Obligation" sub-clause "Modification"

Payable Commission Calculations

1. Negative Commission Balances
   Negative commission balances in either Casino, Keno, Slot Games, Play88 Lotto, Sportsbook or Esports will be deducted from available commissions. Negative earnings are carried forward to the next month. You will have to earn revenue to cover the chargeback before you can start earning revenue again.
2. Real Money Requirement
   Complimentary Money, Free Money and Other incentives refer to those amounts credited to the account of Customers. As they have not purchased these amounts, Play88 cannot pay commissions on these amounts.

Commissions Payout Request

1. Minimum Active Player
   Your Play88 affiliate account must have a minimum of Three (3) Active Wagering Players before you can be eligible for Commission payment in a calendar month
   An Active Wagering Player is defined as a visitor to your site(s) who has clicked through to a Play88 website via your click-through link, has registered as a player, deposited funds to their player account, and conducted betting or playing activity in one or more Play88 products.
2. Minimum Payout
   The minimum payout request for earned Commission per month depends upon the currency denomination of your affiliate account, which is based on a minimum of MYR 100. There is no maximum payout limit.

Commission Payment Method

All Commission Payments will be paid in the currency you selected during the setup of your Affiliate Account. Here are the most recommended, fastest and easiest ways to withdraw your funds from Play88:

1. Bank Transfer

Commissions Payment Restriction

If any payment made via an Affiliate’s preferred payment method is rejected for whatever reason, Play88 reserves the right to withhold the commission payment to the Affiliate.

The Affiliate must contact Play88 and re-elect his or her preferred payment method to process the payment again. Play88 will forfeit all commissions should an affiliate fail to contact Play88 within a 3-month period.

Commissions Payment Date

All commissions shall be paid to you on a monthly basis, by the 9th of every month at the latest. Payment of commissions shall be made directly to you as per your preferred payment method selected by you during registration.

Play88 will verify every Affiliate's account and its relevant transactions before the payment is made to the Affiliate through their preferred payment method.

Play88 reserves the right to choose any suitable payment method should the specified payment method is no longer in service or available in the Affiliate’s residential country.

Terms and Termination

The term of this AGREEMENT will begin when you are approved as an affiliate and will be continuous unless and until either party notifies the other in writing that it wishes to terminate the AGREEMENT, in which case this AGREEMENT will be terminated immediately. Termination is at will, with or without reason, by either party. For purposes of notification of termination, delivery via e-mail is considered a written and immediate form of notification.

Consequence

Upon termination, you must remove all banners/icons from your site(s) and all links redirecting traffic from your site(s) to ours. All rights and licenses given to you in this AGREEMENT shall be immediately terminated. You will return to us any confidential information and all copies of it in your possession, custody, and control and will cease all usage of our Marks.

Unsuitable Sites

Play88 may terminate this AGREEMENT if we determine (in our sole discretion) that your site(s) is/are unsuitable. Unsuitable sites include, but are not limited to, those that: are aimed at children, display pornography or other illegal sexual acts, promote violence, promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age, promote illegal activities or violate intellectual property rights. In addition, any URL that includes 'Play88' within its domain is not permitted.

Duplicate Accounts and Self Referrals

You shall not open more than one affiliate account without our prior written consent, nor will you earn commission from you as a player unless subject to Play88 management approval. The program is intended for genuine players seeking leisure and entertainment on Play88 websites.

You shall incorporate and prominently and continually display the most up-to-date links provided by us on all pages of your website(s) in a manner and location agreed upon by us and you shall not alter the form, location, or operation of the links without our prior written consent. You are eligible for Commissions based on your continued promotion of Play88. We reserve the right to reduce Commission percentages if you reduce your efforts to recruit new Customers. Your reduced or suspended promotion of our sites will be deemed to represent your termination of this AGREEMENT.

You shall defend, indemnify, and hold us, our directors, employees and representatives harmless from and against any and all liabilities, losses, damages and costs, including legal fees, resulting from, arising out of, or in any way connected with (a) any breach by you of any warranty, representation or term contained in this AGREEMENT, (b) the performance of your duties and obligations under this AGREEMENT, (c) your negligence or (d) any injury caused directly or indirectly by your negligent or intentional acts or commissions, or the unauthorized use of our banners and links or this Affiliate program.

Play88 makes no express or implied warranties or representations with respect to the Affiliate program, about us, or the Referral Commission payment arrangements (including, without limitation, functionality, warranties of fitness, merchantability, legality, or non-infringement) and does not express nor imply any warranties arising out of a course of performance, dealing, or trade usage. In addition, Play88 makes no statement that the operation of our sites will be uninterrupted or error-free and will not be liable for the consequences that may arise. In the event of a discrepancy between the reports offered in the Play88 affiliate system and Play88's database, the database shall be deemed accurate. Play88 reserves the right to adjust the billing cycle and commission calculation for the interest of both parties without any notice.

Play88 will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this AGREEMENT or the Affiliate program, even if Play88 has been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this AGREEMENT and the Affiliate Program will not exceed the Total Referral Commissions paid or payable to you under this AGREEMENT. Nothing in this AGREEMENT shall be construed to provide any rights, remedies or benefits to any person or entity that is not a part of this AGREEMENT. Our obligations under this AGREEMENT do not constitute the personal obligations of our directors, employees or shareholders. Any liability arising under this AGREEMENT shall be satisfied solely from the Referral Commission generated and is limited to direct damages.

Governing Law and Arbitration

This AGREEMENT shall be governed by and construed in accordance with the laws of the Philippines. Any claims arising out of or in connection with these Terms and Conditions:

If commenced by you, shall be referred to and finally resolved by arbitration in the Court of the Philippines in accordance with the Court of the Philippines rules for the time being in force which rules are deemed to be incorporated by reference to this clause. The language of the arbitration shall be the English language.If commenced by Play88, shall be either, at the sole option of Play88:

• Referred to and finally resolved by arbitration as per clause above; or
• Before the courts of the Philippines to which you agree to submit provided always that such submission shall not affect the right of Play88 to take legal actions or proceedings in any jurisdiction.

In Witness Where Of

By having read these terms and conditions, and acknowledging such in the affiliate sign-up form, you agree to all the terms and conditions contained herein. Play88 reserves the right to withhold payment from any affiliate that violates any of the terms and conditions contained herein.

In a case of discrepancy, the original version in English shall prevail.
